1、WARRANTYOFQUALITYFWKMANSHIPOFVESSEL1.GUARANTEEOFMATERIALWKMANSHIP材料和工藝的保證TheSELLERfaperiodoftwelve(12)monthsfromtheDeliveryDateguaranteestheVESSELherhullmachineryallpartsequipmentthereofthataremanufacturedfurnishedsuppli

2、edbytheSELLERitssubcontractsunderthisContractincludingmaterialequipment(excludinganypartsftheVESSELwhichhavebeensuppliedbyonbehalfoftheBUYER)againstalldefectswhichareduetodefectivematerialspowkmanshipfaultydesignconstruc

3、tionalmiscalculation.在賣方將本船交付給買方后12個(gè)月內(nèi)，賣方保證對(duì)本船，其船體、機(jī)械設(shè)備及其所有部件和所有由賣方和或本合同中的其分包商制作完成或提供的包括材料、設(shè)備（但由買方或以買方名義提供的任何部件除外）發(fā)生因材料缺陷、制作工藝錯(cuò)誤和或設(shè)計(jì)錯(cuò)誤和或構(gòu)建錯(cuò)誤引起的缺陷承擔(dān)責(zé)任。Anyadditionalguaranteeperiodinexcessoftwelve(12)monthsofferedbyanymanu

5、的通知TheBUYERshallnotifytheSELLERinwritingbytelefax(confirmedinwriting)aspromptlyaspossibleafterdiscoveryofanydefectdeviationsfwhichaclaimismadeunderthisguarantee.TheBUYERswrittennoticeshalldescribethenatureofthedefectthee

6、xtentofthedamagecausedthereby.TheSELLERshallhavenoobligationunderthisguaranteefanydefectsdiscoveredpritotheexpirydateoftheguaranteeunlessnoticeofsuchdefectsisreceivedbytheSELLERnotlaterthanthirty(30)daysaftersuchexpiryda

7、te.Telefaxedadvicewithinthirty(30)daysaftersuchexpirydatewithbriefdetailsexplainingthenatureofsuchdefectextentofdamagestatingthataclaimisfthcomingwillbesufficientcompliancewiththerequirementsastotime.IftheBUILDERbecomesa

8、wareofdefectivematerialsaseriousdefectinthedesignconstructionoftheVESSELanyothervesselbuiltbytheBUILDERtheBUILDERshallimmediatelynotifytheBUYERinwritingbytelefax.買方發(fā)現(xiàn)屬于本保證范圍內(nèi)據(jù)以索賠的缺陷或偏差后，應(yīng)立即以書面或書面確認(rèn)的電傳通知賣方。在買方的書面通知中應(yīng)詳細(xì)說明缺

9、陷的性質(zhì)和由此引起損壞的程度。賣方在保證期到期后三十天內(nèi)未收到缺陷通知，賣方對(duì)保證期到期之前發(fā)現(xiàn)的缺陷不承擔(dān)義務(wù)。在保證期到后三十天內(nèi)應(yīng)電傳通知發(fā)生的缺陷，需要說明缺陷的性質(zhì)和損壞的程度，則隨后的索賠視為符合要求。如果建造方發(fā)現(xiàn)本船或其它由建造者建造的船舶有材料缺陷或設(shè)計(jì)缺陷或建造缺陷，建造方應(yīng)立即以書面形式和通過電傳通知買方。3.REMEDYOFDEFECTS缺陷的修復(fù)TheSELLERshallremedyatitsexpensea

10、nydefectsagainstwhichtheVESSELanypartoftheequipmentthereofisguaranteedunderthisArticlebymakingallnecessaryrepairsreplacement.SuchrepairsreplacementwillbemadebytheSELLER.賣方應(yīng)自行對(duì)本條所保證的本船或設(shè)備的任何部分所發(fā)生的缺陷進(jìn)行必要的修復(fù)和或更incaseseafrei

11、ghtcannotmeetship’sscheduleprovidedthattheBUYERalreadynotifiedsuchscheduletotheBUILDERinadvanceatleasttwoweeks.FanypartswkmanshiprepairedreplacedunderthisclausetheBUILDERshallgivefsuchreplacedrepairedpartswkmanshipaguara

12、nteeofafurtherperiodoftwelve(12)monthshowevertheaggregateguaranteedperiodshallnotexceedeighteen(18)months.根據(jù)此保證條款，賣方有必要寄發(fā)更換有缺陷的部件，所更換的部件應(yīng)在海運(yùn)費(fèi)預(yù)付的前提下運(yùn)送至根據(jù)買方指示指定的港口或地方。在海運(yùn)不適合船舶日程安排表的情況下，此日程安排買家需至少提前兩周通知賣家，航空運(yùn)輸亦許可。對(duì)于適用本條款進(jìn)行的

13、工藝維修或者部件更換，賣家應(yīng)對(duì)維修或者更換的部件延長12個(gè)月的保證期，但總的保證期限最多不超過18個(gè)月。ItisunderstoodthattheBUYERhasrighttoarrangerelevantrepairreplacementbythemselvesatareasonablecost(tobeSELLER’saccount)mutuallyagreedbybothpartiesprovidedthatthesamedefe

14、ctappearedtwicemeduringsuchguaranteedperiod(18months)howevertheBUYERshouldgivethenoticetotheBUILDERinadvanceinsuchcasetheBUILDERshallhavenoobligationliabilitieswithrespecttothesamedefectappearedthereafter在雙方同意的情況下，當(dāng)同一缺陷在

15、此保證期（18個(gè)月）內(nèi)兩次或多次出現(xiàn)時(shí)，買方有權(quán)安排合理成本下的相關(guān)維修和部件更換（賣方承擔(dān)費(fèi)用），但應(yīng)提前通知賣方，在此之后再出現(xiàn)的相同缺陷，賣方不再承擔(dān)任何責(zé)任和或義務(wù)。4.EXTENTOFTHESELLERSLIABILITY賣方的責(zé)任范圍TheSELLERshallhavenoobligationliabilitieswithrespecttodefectsdiscoveredaftertheexpirationoftheper

16、iodofguaranteespecifiedabove.TheSELLERshallbeliabletotheBUYERfdefectsdamagescausedbyanyofthedefectsspecifiedinclause1ofthisArticleprovidedthatsuchliabilityoftheSELLERshallbelimitedtodamageoccasionedwithintheguaranteeperi

17、odspecifiedinclause1ofthisArticle.TheSELLERshallnotbeobligatedtorepairtobeliablefdamagestotheVESSELtoanypartoftheequipmentthereofduetodinaryweartearcausedbythedefectsotherthanthosespecifiedinclause1ofthisArticlenshallthe

18、rebeanySELLERsliabilityhereunderfdefectsintheVESSELanypartoftheequipmentthereofcausedbyfireaccidentsatseaelsewheremismanagementmisoperationaccidentsnegligencewilfulneglectonthepartoftheBUYERitsemployeesagentsincludingthe

19、VESSELsofficerscrewpassengersanypersonsondoingwkontheVESSELotherthantheSELLERitsemployeesagentssubcontracts.LikewisetheSELLERshallnotbeliablefdefectsintheVESSELtheequipmentanypartthereofduetorepairsreplacementwhichwereno

20、tmadebytheSELLERtheirsubcontractswithpriconsentoftheSELLER.賣方對(duì)在上述擔(dān)保期滿后發(fā)現(xiàn)的缺陷不負(fù)責(zé)任。賣方對(duì)由于本條第一款所述原因引起缺陷或損壞負(fù)責(zé)，賣方責(zé)任局限于上面第一款中規(guī)定的擔(dān)保期內(nèi)，由于一般磨損或不是由于上面第一款中規(guī)定的缺陷而導(dǎo)致的該船設(shè)備損壞，賣方無義務(wù)修理。發(fā)生在海上或其他地方的火災(zāi)、意外事故、或錯(cuò)誤處理事故、疏忽或故意疏忽，是由買方及其雇員、代理人，包括該船官員
