9、給任何第三方。保密信息包括但不限于商業(yè)秘密、工藝流程、配方、源代碼資料、規(guī)格說明、程序、軟件包、測試結論、技術性專有決竅、操作方法和規(guī)程、業(yè)務或營銷計劃、客戶名單、建議書和許可性文件。公司和ESI特此確認如下：除為實現本協(xié)議上述各項目的之外，任何一方不得擅自使用對方的保密信息，此外，上述雙方還一致同意：雙方應采取所有的合理的措施，防止其各自的員工和顧問擅自使用或披露對方的保密信息，但是，該等員工或顧問為履行其在本協(xié)議項下之職責所必須使用

10、或披露的情形除外。ESI和公司雙方將對其各自的保密信息明確標識為“保密”字樣，并且，還應指示其員將任何非以書面形式存在的此等信息劃分為保密信息的范疇。以口頭形式披露的任何信息應在披露后的三十（30）天內向信息接收方發(fā)出書面確認書，明確與披露信息的數據和對象有關的事宜。..3whatsoever.不得將任何一方簽署本協(xié)議的行為或提供保密信息的行為解釋為該方已向信息接收方授予了任何明示的、默示的、禁止反言式的或任何其它類型的擅自對該等保密信

11、息進行使用的任何權利或許可，但是，本協(xié)議中另有規(guī)定的除外。同時，信息接收方還同意：未經保密信息披露方之明確具體的事先書面同意，其本身、本任何附屬公司、關聯(lián)公司、高級管理人員、董事、員工、代理人或代表均不得擅自對該等保密信息進行使用。此外，信息接收方還同意：根據本協(xié)議予以披露的保密信息完全屬于披露方的財產，接收方對于該等保密信息不享有任何類型的所有權權益。6.Exceptasotherwiseagreedinwritingbythepar

12、tiessubjecttotheconfidentialityrestrictionscontainedhereinthepartiesagreethateitherpartymaymeetexchangeinfmationenterintoagreementsconductbusinessrelationshipsofanykindwiththirdpartiestotheexclusionoftheotherpartyheretor

13、elatingtoprojectswhicharethesamesimilartothosedescribedabove.SubjecttothetermsconditionsofthisAgreementexceptasotherwiseagreedtoinwritingbythepartiesdiscussioncommunicationsbetweenthepartiesheretowillnotimpairtherightofe

14、itherpartytodevelopmakeuseprocuremarketproductsservicesnowinthefuturethatmaybecompetitivewiththoseofferedbytheotherntodevelopprovideproductstocompetitsoftheotherpartynrequireeitherpartytodiscloseanyplanningotherinfmation

15、totheother.NeitherpartyhasmadeanycommitmenthereundertotheotherregardingtheconsummationofanyproposedbusinessrelationshipeachpartywillbearitsowncostsexpensesinconnectionwiththisAgreementwhethernotsucharelationshipisconsumm

16、ated.除協(xié)議雙方以書面形式另有約定或本協(xié)議中保密限制規(guī)定另有規(guī)定外，協(xié)議雙方一致同意，本協(xié)議任何一方均可與本協(xié)議另一方以外的任何第三方就本協(xié)議中上述的同種或類似項目進行會面、交換信息、簽署協(xié)議并開展任何類型的業(yè)務關系。除本協(xié)議中各條款和條件或協(xié)議雙方以書面形式另有約定的以外，本協(xié)議雙方之間開展的會談和或溝通不得損害任何一方本應擁有的下列各項權利：即開發(fā)、制造、使用、購買和或營銷任何現在或今后與本協(xié)議另一方所提供的產品或服務構成競爭關

17、系的產品或服務的權利；開發(fā)并向本協(xié)議另一方的競爭者提供產品的權利；和要求本協(xié)議另一方向其披露任何規(guī)劃或其它信息的權利。對于能否順利完成任何擬定業(yè)務關系，協(xié)議雙方均未向對方作出任何承諾，并且，無論擬定業(yè)務關系是否按計劃實施完畢，協(xié)議雙方應各自承擔與本協(xié)議有關的任何費用和開支。7.ThepartiesagreethatanyallConfidentialInfmationshallbeexptedoutsidetheUnitedStates
