不正當(dāng)關(guān)聯(lián)交易之撤銷問(wèn)題研究.pdf

1、1內(nèi)容摘要本文首先通過(guò)對(duì)關(guān)聯(lián)交易的介紹之后再進(jìn)一步對(duì)不正當(dāng)關(guān)聯(lián)交易概念進(jìn)行界定，認(rèn)為不正當(dāng)關(guān)聯(lián)交易應(yīng)當(dāng)從程序性條件和實(shí)質(zhì)性條件兩個(gè)方面來(lái)認(rèn)定。對(duì)于關(guān)聯(lián)交易，一般以雙方或者多方之間是否存在控制或共同控制而被認(rèn)為關(guān)聯(lián)方，關(guān)聯(lián)方之間發(fā)生的交易即為關(guān)聯(lián)交易。關(guān)聯(lián)交易的界定必須是以關(guān)聯(lián)人的概念為基礎(chǔ)，本文也對(duì)關(guān)聯(lián)人的概念進(jìn)行了明確的界定。對(duì)于不正當(dāng)關(guān)聯(lián)交易存在三種不同的學(xué)說(shuō)，本文采用了國(guó)際通說(shuō)，并闡述了自己的理由。文章第二部分通過(guò)分析我國(guó)不正當(dāng)關(guān)

2、聯(lián)交易的現(xiàn)狀，并運(yùn)用實(shí)證考察的方法，對(duì)我國(guó)目前不正當(dāng)關(guān)聯(lián)交易的特征進(jìn)行了一定的歸納和概括。在我國(guó)經(jīng)濟(jì)迅猛發(fā)展的同時(shí)，不正當(dāng)關(guān)聯(lián)交易也是層出不窮，但總的概括起來(lái)主要有以下特征：一是主體的生成機(jī)制不健全，二是主體的股權(quán)結(jié)構(gòu)不合理，三是內(nèi)部治理結(jié)構(gòu)不健全，四是法律規(guī)制與監(jiān)管比較滯后。由于我國(guó)不正當(dāng)關(guān)聯(lián)交易具有自身的特征，本文的目的就是針對(duì)以上問(wèn)題提出合理的解決方法。本文第三部分再針對(duì)我國(guó)當(dāng)前不正當(dāng)關(guān)聯(lián)交易的特殊情況，提出了對(duì)不正當(dāng)關(guān)聯(lián)交易行為

3、的主要應(yīng)對(duì)措施。由于本文是從對(duì)不正當(dāng)關(guān)聯(lián)交易的撤銷角度進(jìn)行論述，所以該部分首先從理論上進(jìn)行論證，認(rèn)為不正當(dāng)關(guān)聯(lián)交易違反了民法上的平等自愿原則以及雙方代理制度。然后又從實(shí)務(wù)操作的層面對(duì)撤銷權(quán)的行使以及受除斥期間的限制方面進(jìn)行論述，認(rèn)為不僅債權(quán)人享有撤銷權(quán)，而且從屬公司的中小股東也有撤銷權(quán)，并且該撤銷權(quán)受除斥期間的限制。文章第四部分闡述了不正當(dāng)關(guān)聯(lián)交易的后果，不但明確了不正當(dāng)關(guān)聯(lián)交易的責(zé)任主體，而且還進(jìn)一步探討了不正當(dāng)關(guān)聯(lián)交易的賠償責(zé)任的范
