10、mit of inspection and quality guarantee period as stipulated in Clause 14 of this Contract, the Seller shall settle the claim upon the agreement of the Buyers in one or the combination of the following ways:(1) Agree to

11、the rejection of the goods and refund to the Buyers the value of the goods so rejected in the same currency as contracted herein , and to bear all direct losses and expenses in connection therewith including int

12、erest accrued, banking charges, freight, insurance premium, inspection charges, storage, stevedore charges and all other necessary expenses required for the custody and protection of the rejected goods.(2) Devalue the g

13、oods according to the degree of inferiority, extent of damage and amount of losses suffered by the Buyers. The claims mentioned above shall be regarded as being accepted if the Sellers fail to reply within 30 days after

14、receiving the Buyers' claim.索賠：買方按照本合同 14 條的規(guī)定，在檢驗或質(zhì)量保證期內(nèi)提出的索賠，其問題應(yīng)由賣方負責時，賣方在取得買方同意后應(yīng)按下列之一或混合的方式處理索賠。(1)同意買方退貨，并將退貨金額以成交原幣償還買方，并負擔因退貨而發(fā)生的一切直接損失和費用，包括利息、銀行費用、運費、保險費用、商檢費、倉儲費和裝卸費。(2)按照貨物的疵劣程度，損壞的范圍和買方所遭受的損失將貨物貶值。賣方在收到買

15、方的索賠 30 天內(nèi)沒有答復將被認為接受上述索賠。16. FORCE MAJEURE:The seller shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure , such as war , serious fire , flood , typhoon and earthquak

16、e , or other events agreed upon between both parties , which might occur during the process of manufacturing or in the course of loading or transit . The Seller shall advise the Buyer by cable/telex immediately of the oc

17、currence mentioned above and within fourteen days thereafter, shall send by airmail to the Buyer for their acceptance a certificate of the accident issued by the Competent Government Authorities, where the accident occur

18、s as evidence thereof. Under such circumstances the Seller, however , are still under the obligation to take all necessary measures to hasten the delivery of the goods . 不可抗力：由于嚴重的火災(zāi)、水災(zāi)、臺風、地震以及雙方同意的其它不可抗力事故，致使賣方交貨延遲或不能交貨

19、時，賣方可不負責任，但發(fā)生上述事故時，賣方應(yīng)立即以電傳或電報通知買方，并于事故發(fā)生后 14 天內(nèi)將事故發(fā)生地主管當局出具的事故證明書用航空寄交買方,依不可抗力事件之輕重,一部或全部免除合同責任。17. ARBITRATION:All disputes in connection with this Contract or the execution there of shall be stetted friendly through n

20、egotiations. In case no settlement can be reached, the case may then be submitted for arbitration to China International Economic and Trade Arbitration Commission in accordance with the Rules of Arbitration promulgated b

21、y the said Arbitration Commission. The Arbitration shall take place in Dalian and the decision of the Arbitration Commission shall be final and binding upon both parties; neither party shall seek recourse to a law court

22、nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party .仲裁：一切因執(zhí)行本合同或與本合同有關(guān)的爭議，應(yīng)由雙方友好協(xié)商解決，如經(jīng)協(xié)商不能解決時，應(yīng)提交中國國際經(jīng)濟與貿(mào)易仲裁委員會根據(jù)該會仲裁規(guī)則進行仲裁，仲裁地點在大連，仲裁裁決是終局的，對雙方都有約束力，仲裁費用由敗訴
