2、nceinrecentyearsfollowingtheirincpationbytheWldBankinitsguaranteefmstheirendsementbyUNCITRALleadingindustryassociationssuchasFIDIC.Thisfirstrevisionoftheruleswasmeticulouslypreparedoveraperiodoftwoahalfyearsistheresultof
3、acollectiveefftbyanumberofICCconstituentgroups.ItwasdevelopedasajointprojectbytwoICCcommissionstheBankingCommissiontheCommissiononCommercialLawPracticetherefetakingintoaccountthelegitimateexpectationsofallrelevantsects.I
4、CCnationalcommitteescontributedsubstantiallytothefinalproduct:some52nationalcommitteessubmittedseveralhundredpagesofvaluablesuggestionsonsuccessivedraftsanumberofwhichwereincpatedintothefinaltext.TheICCTaskFceonGuarantee
5、swhichconsistedof40membersfrom26countriesreviewedthevariousdraftsaddedtheirownsuggestions.TheURDGDraftingGroupablychairedbyDrGegesAffakimetonanumberofoccasionscarefullyreviewedallcommentssubmittedbynationalcommitteestheT
6、askFcedevelopedthefinaldraft.Thiscollectiveeffthasbnefruitithasproducedrulesthatreflectabroadconsensusamongbankersusersallmembersoftheguaranteecommunity.InfactthepresentrevisionoftheURDGdoesnotmerelyupdatetheexistingrule
7、s.Itistheresultofanambitiousprojecttocreateanewsetofrulesfthetwentyfirstcenturythatisclearermeprecisemecomprehensive.AssuchURDG758isdestinedtobecomethestardtextfdemguaranteeswldwide.JeanRozwadowskiSecretaryGeneralInterna

9、ringamuchneededclarificationoftheprocessaccdingtowhichapresentationwillbecheckedfconfmity.MepreciseURDG.AnumberofthestardscontainedinURDG458leftamarginfinterpretationthatvariedaccdingtotheparticularfactsofthecase.Thiswas
10、particularlytrueftheterms“reasonabletime““reasonablecare“.ThenewURDGhaveexcludedallimprecisestardswithanaimtofostercertaintypredictability.Examplesaretimedurationsftheexaminationofademtheextensionofaguaranteeinthecaseoff
11、cemajeurethesuspensionoftheguaranteeinthecaseofanextendpaydem.MecomprehensiveURDG.ImptantpracticeswereleftoutofURDG458.Thiswasparticularlythecaseftheadviceofaguaranteeamendmentsstardsfexaminationofpresentationspartialmul
12、tipleincompletedemslinkageofdocumentstransferofguarantees.Inadditiontherewasonlyfragmentarytreatmentofcounterguarantees.Whatwasunderstableatthetimeofthefirstattempttocodifydemguaranteepracticecannolongerbeaccepted17years
13、later.ThenewURDG758nowcoverallofthesepracticesmakeclearthatprovisionsgoverningguaranteesapplyequallytocounterguarantees.BalancedURDG.ThenewURDG758endsebuildonthebalancedapproachthatacterizedURDG458.Fexample:Thebeneficiar
14、yisentitledtopaymentuponpresentationofacomplyingdemwithouttheneedftheguaranttoseektheapplicantsapproval.ThenewURDGalsocrectanunfairsituationthatwouldhaveleftthebeneficiarywithoutrecoursetotheguaranteeinthecaseoffcemajeur
15、eifitsexpirycoincidedwiththeinterruptionoftheguarantsbusiness.Theguarantsindependentroleisexpressedinstrongerclearertermsmeimptantlyitisnowexpressedinexclusivelydocumentaryterms.ThenewURDGexpecttheguaranttoactdiligently.
16、Finstanceaguarantisexpectedtorejectanoncomplyingdemwithinfivebusinessdaysbysendingarejectionnoticethatlistsallofthediscrepanciesotherwisetheguarantwillbeprecludedfromclaimingthatthedemisnoncomplyingwillbecompelledtopay.L
17、argelyacceptedindocumentarycreditpracticeundertheUCPthepreclusionsanctionisnecessarytodisciplineunfairpracticesthatwktothedetrimentofthebeneficiary.Theapplicantsrighttobeinfmedoftheoccurrenceofthekeystagesinthelifecycleo
18、ftheguaranteeisacknowledgedinthenewrules.Howeverthisinfmationshouldnotbeaprerequisitefpaymentwhenacomplyingdemispresented.InnovativeURDG.ThenewURDG758featureanumberofinnovationsdictatedbythedevelopmentofpracticetheneedto
